Terms of Service

These Terms of Service (the "Terms") are made by and between the entity accepting these Terms ("you") and Voice.ai (as applicable, "we" or "us"), and are effective as of the date you first accept them (whether via an online click-through agreement, signed agreement, or by using any Voice.ai product or service) (the "Effective Date").

Eligibility. You may use the Services only if you are at least 18 years old (or the age of legal majority in your jurisdiction), and capable of forming a binding contract with Voice.ai. By using the Services, you represent and warrant that you meet these requirements. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
General Terms. Voice.ai allows you to create a voice clone and upload it to our platform. Any voice you upload may be publicly available, subject to your account settings and these Terms. Voice.ai may test, modify, or discontinue products and features at any time and may make beta or experimental features available under these Terms. Unless expressly authorized in writing by Voice.ai (including pursuant to a separate written business agreement), the Services are provided for personal, non-commercial use only. For clarity, business, enterprise, API, or other commercial use of the Services requires a separate agreement with Voice.ai. For purposes of these Terms, "Services" may include software, features, tools, APIs, and other Voice.ai products made available to you. You agree that your use of each such product is governed by these Terms unless otherwise expressly agreed in writing.
Service Availability. The Services may be in a testing or experimental phase and may contain errors. You agree the Services are provided "AS IS" and "AS AVAILABLE." We do not guarantee uninterrupted or error-free access to the Services and disclaim liability for any unavailability, delay, or malfunction, including those caused by system outages, third-party providers, or scheduled maintenance. We reserve the right to modify or terminate access at any time, without notice. By using the Services, you consent to us utilizing your hardware for metamodel training and computational purposes. You acknowledge that all users have the option to disable this feature at any time. You agree not to disclose feedback to any third party and hereby assign to us all right, title and interest in and to any feedback, without any right to compensation or other obligation from us.
Use Restrictions & Prohibited Use. Our software is intended solely for lawful and ethical use, including the creation of original voice identities and parody content involving public figures or fictional characters where such use is protected by law. Any use of our software to impersonate real individuals -- living or deceased -- with the intent to deceive, defraud, or mislead others is strictly prohibited. This includes, but is not limited to, creating voices that falsely represent another person for personal gain, misinformation, harassment, or manipulation. Such misuse may violate civil and criminal laws and will result in immediate termination of access, potential legal action, and cooperation with law enforcement authorities.

Use of this software is at your own risk. It is your sole responsibility to understand and comply with all applicable laws and regulations in your jurisdiction regarding voice synthesis, impersonation, and content creation.

In addition, you agree to use the Services only for lawful purposes and in compliance with these Terms. You may only upload or generate audio content if:
- You are using your own voice
- You have explicit legal authorization from the person whose voice is used
- Your use is clearly permitted under applicable law (e.g., parody or satire)
No License to Voices. Except as expressly authorized by Voice.ai in writing, no right, title, or interest is granted to you in or to any voice, voice model, voice clone, or voice identity made available on or through the Services (collectively, "Voice Assets"), including any voices uploaded by other users. A Voice Asset being publicly available does not grant you permission to use, reproduce, distribute, commercialize, or otherwise exploit it.

You are fully responsible for any content you upload or generate using the software, and for any consequences of publishing, sharing, or distributing that content. You may not:
- Rent, lease, sell, distribute, sublicense, or otherwise commercially exploit the Services without prior written permission from Voice.ai
- Use, analyze, extract, or attempt to replicate any Voice.ai-generated audio or voice data to train, develop, or improve any voice models, AI systems, or machine learning datasets, whether directly or indirectly
- Use any Voice.ai outputs or technology to build new synthetic voices, voice clones, or derivative products
- Develop or attempt to develop bot detection or bypass mechanisms using our voice technologies
- Scrape, copy, or archive any voice data, generated audio, or associated metadata for training or benchmarking any AI or voice-related technologies
- Use the Services to build or support a competing product or service
- Remove or alter any Voice.ai logos, trademarks, copyright notices, or proprietary markings included in the software
Voice.ai reserves the right to remove any uploaded content, restrict access, or terminate accounts at its sole discretion, particularly in cases of suspected misuse or violation of these Terms.
Reporting and Removal. Voice.ai may remove or restrict access to any Input, Output, or Voice Assets, and may suspend or terminate accounts, if we reasonably believe such content or use may violate these Terms, applicable law, or third-party rights, or may create legal, security, or reputational risk.
Output Responsibility; Assumption of Risk. Any audio, speech, voice, or other content generated by or through the Services (collectively, "Output") is used at your own risk. You are solely responsible for your Input and Output, including how you use, publish, share, or distribute Output, and for obtaining and maintaining all rights, consents, and permissions necessary for your Input and your use of Output. You represent and warrant that your Input and your use of Output will comply with applicable law and will not infringe, misappropriate, or violate any third-party rights, including rights of privacy, publicity, or likeness.
Your Content. By uploading, submitting, transmitting, or otherwise providing any voice recordings, text prompts, scripts, call flows, recordings, files, or other content (collectively, "Input") to Voice.ai, you grant Voice.ai a perpetual, irrevocable, worldwide, royalty-free, fully paid, non-exclusive, and sublicensable license to use, reproduce, process, modify, adapt, publish, host, store, make available, translate, create derivative works from, distribute, publicly perform or display, and otherwise use such Input to: (a) provide, operate, maintain, and improve the Services (including for trust and safety purposes); (b) train and refine Voice.ai's models; and (c) develop new features, services, or products.

You represent and warrant that you have all rights, permissions, consents, and authority necessary to provide the Input to Voice.ai and to grant the foregoing license, and that Voice.ai's use of the Input as permitted by these Terms will not violate any applicable law or infringe, misappropriate, or otherwise violate any third-party rights (including intellectual property, privacy, publicity, or likeness rights).

To the extent your Input includes your voice or other elements of your persona, you grant Voice.ai the right to use, reproduce, modify, adapt, and create derivative works from such voice and persona solely for the purposes stated above. Voice.ai will not commercialize your voice on a standalone basis without your explicit permission. You acknowledge that you are solely responsible for ensuring you have the legal right to submit any third-party voice or persona as Input.
Voice.ai Intellectual Property. (a) Ownership. The Services and all associated content and technology -- including but not limited to the software, user interface, text, images, graphics, voice models, generated outputs, training data, features, functionality, audio, and all related intellectual property -- are owned by Voice.ai or its licensors. Except as expressly stated in these Terms, all rights in and to the Services are reserved by Voice.ai.

(b) Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for lawful, personal, and non-commercial purposes, as expressly permitted herein. For clarity, this license to use the Services does not grant you any right or license to use any Voice Assets except as expressly permitted under these Terms or authorized in writing by Voice.ai. Any unauthorized use, reproduction, or distribution of the Services or any component thereof is strictly prohibited and will terminate this license.

(c) Trademarks. The "Voice.ai" name, logo, product names, service marks, visual design, and any related branding elements are trademarks or trade dress of Voice.ai and may not be used without our prior written consent. Any other trademarks, product names, or logos mentioned in the Services are the property of their respective owners and are used for identification purposes only.

Unauthorized Derivative Use: You may not create, train, or distribute any models, services, or content derived from or substantially based on Voice.ai's Services or outputs without our prior written consent. Any such unauthorized use may constitute a violation of our intellectual property rights. We reserve all rights to take appropriate legal or equitable action in response to such use.
User Accounts. To access certain features of the Services, you may be required to create an account. You agree to provide accurate, complete, and up-to-date information and to keep it that way. You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account. Voice.ai reserves the right to suspend or terminate your account at its discretion, particularly in cases of misuse or violation of these Terms.
Branding. In accordance with the Brand Use Guidelines, you agree to provide proper credit to Voice.ai for any use of its products.
Publicity. If you are using the Services on behalf of a business or organization, you grant Voice.ai a non-exclusive license to use that company's name and logo on our website and in marketing materials. You may opt out at any time by contacting us.
Warranty Disclaimer & Performance Liability. With regard to the Voice.ai platform, all voices are user-generated and we are not liable for any such voices uploaded to our platform. The Services and any related software may include beta, experimental, or prerelease features that are not fully tested or supported. Software may not operate correctly and may be substantially modified prior to public availability or withdrawn at any time. Voice.ai does not warrant that any Output or Voice Assets are non-infringing, authorized for your intended use, or suitable for any particular purpose, and you are solely responsible for confirming your use complies with applicable law and does not violate any third-party rights. Accordingly, access to and use of the Services is entirely at your own risk. In no event shall we be responsible for any loss or direct, indirect, special, incidental or consequential damage whatsoever arising out of the use of or inability to use the Services, or in any other way caused by Software, either to you or third parties, or their property even if we have been advised of the possibility of such damages.
Indemnification. You agree to defend, indemnify, and hold harmless Voice.ai and any parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against any claims, demands, actions, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Services; (b) your Input or Output, including any allegation that your Input or Output infringes, misappropriates, or violates any third-party rights (including intellectual property, privacy, publicity, or likeness rights); (c) your violation of these Terms or applicable law; or (d) your content, communications, conduct, or use of the Services in connection with any third party or platform.
Injunctive Relief. You agree that irreparable harm would occur in the event that any of the provisions of this Agreement are not performed in accordance with their specific terms or were otherwise breached for which money damages would not be an adequate remedy at law. It is accordingly agreed that we shall be entitled to an injunction or injunctions and other equitable relief to prevent breaches of this Agreement, any requirement for the securing or posting of any bond in connection with the obtaining of any such injunctive or other equitable relief hereby being waived.
Proprietary Rights. We retain all right, title and ownership to the Services. Except as expressly permitted under these Terms or expressly authorized in writing by Voice.ai (including pursuant to a separate written business agreement), you may not sell, transfer, assign, pledge or in any way encumber or convey the Services or any portion or component thereof to any third party or use it in any manner to produce, market or support your own products. You shall not copy, sell or market the Services to any third party; or modify, reuse, disassemble, decompile, reverse engineer or otherwise translate the Services or any portion thereof.
Digital Rights Protection. We recognize the importance of protecting the Digital Rights and the Intellectual Property of a voice owner and will make our best effort to support such rights in accordance with the law.
Confidentiality. "Confidential Information" means all non-public information including any information disclosed by us to you, or accessed or provided by you, relating to the Services, including your use, feedback, and the Terms. You agree not to use any Confidential Information except as needed to use the Services; to maintain Confidential Information with the reasonable level of care you use to protect your own and you will not disclose any such information to any person or entity aside from those who require access and who are bound by written confidentiality obligations similar to those under these Terms.
Platform. You agree to comply with all applicable policies and documentation made available to you relating to the Services.
Term. These Terms will continue until terminated by either party. Voice.ai may discontinue or withdraw Services at any time. Certain sections of these Terms will survive termination.

Unless otherwise stated at the time of purchase or required by applicable law, all payments for Voice.ai Services are non-refundable. This includes any subscription fees, usage-based charges, or one-time purchases. We may, at our sole discretion, offer refunds or credits in exceptional cases, but are not obligated to do so.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Delaware.
Miscellaneous. Any participation by you does not create a partnership, agency relationship, or joint venture between the parties. We retain exclusive ownership of the Services. These Terms may be updated at any time. Continued use of the Services means you accept any changes.
